» Bases of Legislative Harmonization on The Subject of Cramdown in the Mercosur

Sumary

The integrated areas represent for the businessmen an important economic space that allows them to operate in the market without protectionisms or neo protectionisms. The business, the investments grow much faster than the trade with the rest of the world and these processes should send clear signals about what are the conditions under which economic operators will be able to invest. The law of States are shaped by national and conventional rules causing legislative unfavorable asymmetries for the advance, strengthening, consolidation of the process. The legislative harmonization in the MERCOSUR will allow to achieve legal certainty. It is desirable to adopt a common regulatory framework with that contemplate possible solutions to the problem of corporations in crisis and the cramdown. Also, the necessary guarantees of "protection against unilateral modification of the text harmonised, and uniform interpretation and application" can be obtained only through a single text of regional law on the subject. That regulatory framework should be developed with the method of field, especially taking into account the political, economic, social, cultural variables, and the objectives established in the area
